Terms of Service

These Terms of Service ("Terms") govern your access to and use of ContentBeamer (the "Service"), operated by 17145608 Canada Inc. ("ContentBeamer," "we," "us," or "our"), a company incorporated under the laws of Canada. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1.Eligibility and Accounts

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must not share your account credentials with any third party. Notify us immediately atsupport@contentbeamer.com of any unauthorized use.

We use Clerk for authentication. Your use of authentication features is also subject to Clerk's applicable terms.

2.Description of the Service

ContentBeamer is an AI-powered content automation platform that generates articles, social media posts, audio, images, and video from user-provided inputs, and can publish that content to content management systems and third-party social media platforms (including TikTok, X/Twitter, LinkedIn, Facebook, Instagram, Reddit, and YouTube) that you connect to your account.

The Service relies on third-party artificial intelligence providers, hosting infrastructure, and platform APIs. We do not guarantee that any particular feature, model, integration, or third-party service will remain available, and we may modify, suspend, or discontinue any part of the Service at any time.

3.User Content and Generated Content

Your inputs. "User Content" means any material you provide to the Service, including keywords, prompts, uploaded files, brand assets, configuration, and credentials. You retain all rights you hold in your User Content.

Generated output. Subject to your compliance with these Terms and payment of applicable fees, we do not claim ownership of the articles, posts, audio, images, or video the Service generates for you ("Generated Content"). As between you and us, you own the Generated Content to the extent permitted by applicable law.

Important limitations on Generated Content. You acknowledge that:

  • AI-generated output may be inaccurate, incomplete, misleading, offensive, or infringing, and may not be unique to you.
  • The legal status of copyright in AI-generated material is unsettled in many jurisdictions, and we make no representation that Generated Content is protectable by copyright or free of third-party rights.
  • You are solely responsible for reviewing, editing, fact-checking, and approving all Generated Content before you publish or distribute it.

Your responsibility for published content. You are solely responsible for all content generated through your account and for all content published to any CMS or social platform through the Service, whether published manually or automatically through scheduling.

4.Acceptable Use

You agree not to use the Service to generate, publish, or distribute content that:

  • is unlawful, defamatory, harassing, threatening, hateful, or discriminatory;
  • infringes any intellectual property, privacy, publicity, or other right of any third party;
  • is false, deceptive, or misleading, including spam, fake reviews, or coordinated inauthentic behavior;
  • constitutes or promotes fraud, malware, or any illegal activity;
  • violates the terms, policies, or community guidelines of any CMS or social platform you publish to;
  • sexualizes minors or otherwise exploits or endangers children;
  • impersonates any person or entity or misrepresents your affiliation.

You further agree not to reverse engineer, decompile, or attempt to extract source code from the Service; access the Service to build a competing product; circumvent rate limits, usage limits, or security measures; or use automated means to access the Service except through interfaces we provide.

We may suspend or terminate your access for any violation of this section, and may remove or refuse to process any content at our discretion.

5.Third-Party Services and Connected Accounts

The Service integrates with third-party services including AI providers (OpenAI, Anthropic, Google, Groq, Mistral), media providers (ElevenLabs, HeyGen), infrastructure providers (Vercel, Neon, Cloudflare, Upstash, Railway), payment processing (Stripe), and the social and CMS platforms you connect.

When you connect a third-party account, you authorize us to access and use that account through its API on your behalf, including to publish content. Your use of each third-party service is governed by that third party's own terms and privacy policy. We are not responsible for the acts, omissions, availability, or policies of any third party.

You may disconnect any integration at any time through your settings. Disconnecting does not affect content already published.

6.Fees, Billing, and Refunds

Plans. Paid plans are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorize recurring charges to your payment method until you cancel.

Cancellation. You may cancel at any time through the billing portal. Cancellation stops future renewals; it does not retroactively refund the current period.

Refunds. Except where required by applicable law, fees are non-refundable. We may, at our sole discretion, issue refunds or credits.

Price changes. We may change pricing or plan features. We will provide notice of price increases before they take effect for your next billing period.

Failed payments and chargebacks. If a payment fails, we may suspend or limit your access until payment is resolved. Initiating a chargeback without first contacting us may result in account termination.

Third-party AI costs. If you supply your own API keys, you are responsible for all charges incurred with those providers.

Taxes. Stated fees exclude applicable taxes. You are responsible for all taxes other than taxes on our net income.

7.Intellectual Property

The Service, including its software, design, and underlying technology (but excluding User Content and Generated Content), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

8.Disclaimers

The Service and all Generated Content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Generated Content will be accurate, reliable, original, or non-infringing. You use the Service and any Generated Content at your own risk.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9.Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity. Our total aggregate liability for all claims will not exceed the greater of (A) the total amount you paid us in the twelve months preceding the event giving rise to the claim, or (B) one hundred Canadian dollars (CAD $100).

These limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some may not apply to you.

10.Indemnification

You agree to indemnify, defend, and hold harmless 17145608 Canada Inc. and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: your User Content; any Generated Content you publish or distribute; your use of the Service; your violation of these Terms or any applicable law; or your infringement of any third-party right.

11.Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the Service to you poses a risk to us or others. Sections that by their nature should survive termination — including disclaimers, limitation of liability, indemnification, and governing law — will survive.

You are responsible for exporting any content you wish to retain before termination.

12.Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new "Last updated" date or by email. Your continued use of the Service after changes take effect constitutes acceptance.

13.Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree that the courts located in Ontario will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

Before filing any claim, you agree to first contact us atsupport@contentbeamer.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

14.General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
